Terms and Conditions

These Terms and Conditions form a binding agreement (“Agreement”) between Jerry Insurance Agency, LLC (“Jerry,” “we,” or “our”) and the licensed insurance producer or agency that accepts this Agreement electronically (“Partner,” “you,” or “your”). If Partner is an entity, the individual accepting on its behalf represents and warrants that they are duly authorized to bind Partner to this Agreement. By checking the box and clicking Submit on the page that links to these Terms and Conditions, you provide your electronic signature and agree to be bound by them, INCLUDING THE PROVISIONS FOR INDIVIDUAL ARBITRATION AND THE WAIVER OF CLASS ACTIONS.
1. Referral Fees
Partner may earn a one-time flat referral fee for each qualifying referral. A referral qualifies if (i) the referred customer purchases an eligible policy through Jerry using the referral link or code assigned by Jerry to Partner within thirty (30) days of receiving it; (ii) the policy remains active for at least ninety (90) days after its policy effective date with all required premiums and fees timely paid; (iii) the referral and resulting policy sale are verified by Jerry through its internal tracking systems; and (iv) the customer resides in a state where Partner holds an active resident license for property & casualty insurance. Jerry may revise the referral fees from time to time by electronic notice provided prior to the effective date of such changes. A referral fee is payable only once per unique customer with respect to any qualifying referral within any rolling twenty-four (24)-month period.

2. Relationship and Scope
Partner acts as an independent contractor, not as Jerry’s employee, sub-producer, or representative, and has no authority to bind Jerry. Partner’s activities are limited to referring prospective customers to Jerry through links or materials supplied by Jerry. Partner has no authority to quote, bind, negotiate, or sell insurance on Jerry’s behalf, or apply for insurance on Jerry’s platform on customer’s behalf.
3. Licensing and Compliance
Partner represents and warrants that Partner, and each of its employees or representatives involved in referral activities, is and will remain a properly licensed property-casualty insurance producer in each jurisdiction where Partner operates, complies with all applicable laws (including state insurance and privacy laws), maintains errors-and-omissions insurance in good standing, and keeps all non-public information obtained from Jerry confidential.
4. Indemnification and Limitation of Liability
Each party shall indemnify,defend, and hold harmless the other from third-party claims arising from such party’s breach of this Agreement or violation of any applicable law. Except for indemnification and confidentiality breaches, Jerry’s aggregate liability shall not exceed the total referral fees paid to Partner in the twelve (12) months preceding the event giving rise to liability. Neither party is liable for indirect, consequential, or punitive damages.
5. Dispute Resolution; Arbitration and Class-Action Waiver
The parties agree that any dispute, claim, or controversy arising out of, relating to, or connected with this Agreement shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules and the Federal Arbitration Act. Each party waives any right to bring or participate in a class, collective, representative, or consolidated action. The arbitration shall take place at a location mutually agreed by the parties or, if the parties cannot agree, at the AAA office nearest Jerry’s principal business location in Palo Alto, California. The arbitrator’s award may be entered in any court of competent jurisdiction.
6. Termination and General Terms
Either party may terminate this Agreement at any time by written or electronic notice. Upon termination, Partner shall cease referrals and remove all Jerry materials and links. This Agreement is governed by the laws of Delaware, subject to applicable laws of the state where the referred customer resides. Notices may be sent electronically. If any provision is invalid, the remainder remains in effect. Sections 2-5 and any obligations that by their nature should survive termination shall remain in effect.
